Jonathan Clark

Jonathan A. Clark is co-chair of the Employee Benefits Practice Group of Pepper Hamilton LLP, resident in the Philadelphia office. Before joining the firm, Mr. Clark served, most recently, as general counsel and leader of business development and strategy for a business-to-business Internet-based company providing disposition chain management solutions for the industrial assets of Fortune 500 companies.  This experience has given him the client’s perspective and an understanding of corporate business issues. Mr. Clark has experience in a variety of employee benefits, executive compensation and related securities law matters, including:

·                     benefits and compensation issues arising during transactions, including plan asset transfers, management investment in leveraged buyouts, ESOPs and other employee ownership vehicles

·                     equity-based compensation arrangements for directors and executives, including stock option, restricted stock and phantom stock programs

·                     design, implementation, operation, communication and termination of qualified retirement plans.

Mr. Clark is listed in Chambers USA: America’s Leading Lawyers for Business and The Best Lawyers in America.

Mr. Clark is a 1991 honors graduate of The Johns Hopkins University, where he earned a B.A. in economics, and a 1994 cum laude graduate of the University of Chicago Law School.

Mr. Clark is admitted to practice in Pennsylvania.

Michael Kadlec

Michael A. Kadlec is an associate in the Employee Benefits Practice Group of Pepper Hamilton LLP, resident in the Berwyn office.  Mr. Kadlec concentrates his practice in and has experience in all areas of employee benefits and executive compensation, including employee benefits and executive compensation aspects of corporate mergers and acquisitions, public corporation executive compensation disclosure, design and drafting of equity compensation arrangements, and negotiation and drafting of employment and separation agreements.

Mr. Kadlec has experience representing various types of clients, including international publicly traded corporations, private equity funds, privately held entities and not-for-profit organizations.

Some of Mr. Kadlec’s recent representative engagements include:

·                     design, documentation and compliance advice for executive deferred compensation arrangements for a publicly traded investment bank

·                     preparing executive compensation analysis and disclosure for the proxy disclosure statements of various publicly traded corporations 

·                     representation of a wholesale drug and medical equipment distributor and pharmacy operator on all aspects of employee benefits, including the redesign and implementation of equity compensation arrangements
